CGU

SCOPE

· DS CONNECT publishes the "IDISKO" Application, which is a platform for direct video and music streaming.

· The purpose of these T&Cs is to define the conditions under which the User may access and use the Application. Access to and use of the Application are subject to the User's unconditional acceptance of the T&Cs.

· These T&Cs come into force on the date they are posted on the Application and are enforceable on the date of the first use of the Application by the User, for the entire duration of its use.

· By accessing the Application, the User therefore acknowledges that he or she has read and understood all of these T&Cs, and expressly accepts them without restriction or reservation.

· The content of the T&Cs may be modified. In the event of significant changes, DS CONNECT will inform the User. In any case, the User is invited to consult the T&Cs frequently to be aware of any changes.

DEFINITIONS

· Application: refers to the "IDISKO" mobile application.

· T&Cs: refers to these General Terms and Conditions of Use of the Application in force.

· Account: refers to a secure account specific to each User and allowing him or her to access and use the Application.

· Content(s): refers to all information, data and documents present within the Application and accessible from it, namely, in particular and without this list being exhaustive: any textual, graphic, photographic, video, musical, sound element, any message, information, all titles, characters, names, themes, objects, decorations, disguises, effects, texts, dialogues, hooks, places, characters, diagrams, concepts, designs, graphics, animations, sounds, musical compositions, choreographies, videos, audiovisual effects, photographs, paintings, computer and electronic files contained within the Application, scientific, technical, commercial, economic data, Personal Data, and more generally any other content or element present, composing or allowing the operation of the Application, as well as all intellectual property rights, trademarks, domain names, acronyms, logos, related designs.

· Personal Data: refers to any information relating to a natural person who is identified or who can be identified, directly or indirectly, by reference in particular to an identification number or to one or more elements specific to that person, in particular username, profile, email address, photographs, voice, etc.

· IDISKO Website: refers to the DS CONNECT website whose address is: www.idisko.com

· User: refers to any natural person, aged 18 or over, subject to the stipulations herein, downloading, accessing and using the Application, acting for strictly personal purposes and for his or her own needs.

DESCRIPTION OF THE MAIN FEATURES OF THE APPLICATION

· DS CONNECT offers its Users an Application with several functionalities, namely:

· Live: direct video streaming feature allowing Users to meet according to the defined profile settings;

· Live "VIP": a feature that allows Users to meet, chat and listen to music;

· "Swipe": presentation of the profiles of other Users listening to the same music;

· "Chat": sending direct messages to other Users via chat;

· "Music": Listen to music from the YouTube API or via iDisko Radio.

· Access to the Application is reserved for adults aged 18 and over. DS CONNECT reserves the right, for this purpose, to verify the User's age, in particular through the YOTI solution.

· The functionalities of the Application are accessible through access via the Internet. ACCESS TO THE APPLICATION

· A. Download and install the App

· Prior to any access and use of the Application, the User must:

· Download the App from the Apple Store for the IOS operating system and from the Play Store for the Android operating system on your device, and

· Install the Application on your terminal.

· The download and installation of the Application is accessible to any User with a terminal and Internet access.

· The User is informed that the Application is aware of the terminal identification number (UDID, non-nominative information), it being specified, however, that this information will only be used to quantify the use of the Application's functionalities and will not be processed for any other purpose by DS CONNECT or third parties. B. Accessibility and updates to the features and Content of the Application

· Access to the Application is subject to the fact that the User:

· Has a terminal on which at least an Android or iOS software version compatible with the Application is installed, and

· Has access to the Internet via their terminal through a mobile and/or fixed Internet service provider.

· The use of a terminal will incur connection costs. Connection charges may include, for example, the normal rates of the telephony contract holder's Internet service provider for the use of WAP services, data transfers or messages provided for under its contract for the provision of mobile and/or fixed Internet access (within or outside the package), or any other fees charged to the telephony contract holder by its Internet service provider in exchange electronic communications services. The User must contact his Internet service provider in order to obtain all useful information relating to the packages available and their price.

· The User is solely responsible for the proper functioning of his equipment as well as his access to the Internet.

· All costs relating to access to the Application, whatever they may be, and in particular hardware, software or Internet access costs, are the sole responsibility of the User.

· Downloading, installing, and using the App via a device may be prohibited or restricted by the phone contract holder's Internet service provider, and not all features of the App may work with all network or device providers. The User should contact their Internet service provider to find out if the Application is for their device, and what restrictions, if any, may apply to the use of the App's features for mobile devices.

· C. YouTube

· The Application allows the User to access audio content from the YouTube platform. The User is informed that this content remains hosted exclusively on YouTube and is distributed via the official YouTube API, without requiring the creation of an account. In the absence of a YouTube Premium subscription, the

User is informed that advertisements may be displayed in accordance with YouTube's practices and the requirements for monetizing its content.

· D. Access to the device's camera and photo, video and microphone album

· The User must authorize the Application to access the camera and the photo and video album as well as the microphone of his terminal.

· If these features are not activated or present on the User's terminal, certain features of the Application will not be accessible. In particular, it will not be possible to view the live of other Users.

· The management of access authorization is done in the settings of the User's terminal, by modifying the parameters of the Application.

CREATING AN ACCOUNT ON THE APP

· Has. How to create an Account

· To access the Application, the User must create an Account. To create an Account, the User must:

· Have a valid email address;

· Complete the registration form accessible from the Application by indicating their email address and the password of their choice;

· DS CONNECT requires Multi-Factor Authentication (MFA) which is a secure authentication method that requires Users to verify their identity with a second piece of evidence (or factor) in addition to their password, including a code received by email.

· The User may also create an Account using a third-party service such as Apple or Google and, where applicable, complete the missing data. In such a case, the User acknowledges that he or she authorises the use by DS CONNECT of the data transmitted by the third-party service (Apple or Google).

· The Account will allow the User to access the Application and will be accessible with the email address and a password.

· The rights to access and use the Application are non-exclusive and non-transferable.

· The User undertakes to provide true, accurate, up-to-date and complete information. It is the User's responsibility to keep this information up to date.

· The User acknowledges and accepts that DS CONNECT may act, if it so wishes, in such a way as to verify the accuracy of the information it transmits, including by carrying out checks on any element and information that the User has communicated.

· In order to prevent the risk of fraud, the User agrees to send DS CONNECT on request by e-mail or post the necessary authorisations and supporting

documents, which may include in particular the User's identification documents (identity document, etc.). DS CONNECT may, in certain situations, in order to verify the User's age, request a copy of his or her identity card.

· DS CONNECT reserves the right, without this giving rise to any claim and/or compensation, to refuse any registration request from a User with whom there is a dispute as long as this dispute is not resolved, or any other element leading to the conclusion of fraudulent or unauthorised use of the Application.

· B. Identification of the User

· The User's connection to his Account is based on a reliable and secure authentication system, including a username (email address) and a password.

· The password can be changed on the Application by the User in his Account. The User will choose his password subject to compliance with both European and French legislation and more particularly the legislation relating to the respect of public order and morality, but also in accordance with the recommendations of the Commission Nationale de l'Informatique et des Libertés (CNIL) in this area. In particular, the User undertakes to choose a strong, complex and relatively long password, of at least 8 characters, including at least one number, one special character, one uppercase letter and one lowercase letter.

· The username and password are unique, personal and strictly confidential. The User undertakes to preserve its confidentiality. The User is solely responsible for their use. Any use of the username and password is irrefutably deemed to constitute a use of the Application by the User, which the User expressly declares to accept.

· In the event of loss or unauthorised use of their Account, the User must immediately inform DS CONNECT by sending an email to the following address: contact@idisko.com

· Any attempt to substitute another User's username or password is strictly prohibited. FREE APP

· The use of the Application is free and accessible by simple download from the dedicated platforms.

SUSPENSION OR TERMINATION OF ACCESS TO THE APPLICATION AND/OR ACCOUNT

· A. Termination by the User

· The User may delete his Account at any time through the "Delete my account" section in the Application.

· The User may also delete the Application from his terminal at any time.

B. Suspension and/or termination of access to the Application and/or the Account by DS CONNECT

· Access to the Application may be suspended at any time by DS CONNECT.

· In particular, DS CONNECT may consider it necessary to carry out updates, maintenance and/or resets to improve and/or optimize the Application.

· In addition, in the event of an alleged violation of these T&Cs, DS CONNECT may conduct an investigation. In this case, DS CONNECT is authorized to delete all or part of the User's content, or to suspend his/her access to all or part of the functionalities of the Application, acting reasonably and objectively according to the seriousness of the alleged violation.

· Subsequently, DS CONNECT may decide to suspend or terminate the Account temporarily or permanently, or to impose limits on, or restrict, access to the features of the Application if:

· DS CONNECT determines, in a reasonable and objective manner, that the User has committed a serious or repeated breach of these T&Cs;

· DS CONNECT has objective reasons to believe that the User is about to commit a serious breach of these T&Cs;

· DS CONNECT is required to do so;

· This is reasonably necessary in response to the resolution of a serious technical or security issue.

· DS CONNECT records the number of times a User's Account violates these T&Cs. Repeated violations or a single serious violation may result in a permanent ban from the Account. If DS CONNECT has already terminated the Account for violation of the T&Cs, but the User continues to use the Application (e.g. by opening another account), DS CONNECT is entitled to suspend or terminate these Accounts. DS CONNECT will inform the User in advance in order to give him time to download the data present on the Application, unless it is not appropriate for DS CONNECT to do so or if DS CONNECT reasonably believes that continued access to the Account will cause damage to it, other Users or other third parties, or if DS CONNECT is legally prohibited from doing so.

· If the User considers that DS CONNECT has made a mistake by suspending or terminating their Account, they can contact DS CONNECT from the Application. DS CONNECT will then review its decision again.

· Similarly, if the User's Account has been inactive for two (2) years, DS CONNECT will delete it.

· C. Consequences of Account Termination

· Once their Account has been terminated, the User acknowledges and accepts that they will no longer be able to access the Application.

· Under no circumstances can DS CONNECT be held liable for the consequences related to the deletion of the Account, and in particular in the event of loss of data.

APP CHANGES

· DS CONNECT reserves the right, at any time, to modify, suspend or interrupt all or part of the Application temporarily or permanently. DS CONNECT will inform the User in advance as far as possible and as soon as possible. DS CONNECT cannot be held liable to the User or to third parties for any modification, suspension or interruption, temporary or permanent, of the Application.

DS CONNECT'S RESPONSIBILITIES AND WARRANTIES

· DS CONNECT is bound by an obligation of means.

· DS CONNECT shall not be liable under any circumstances for indirect loss or damage of any nature whatsoever resulting from the access, use, interruption or malfunction of the Application, and/or any information contained therein.

· To the extent permitted by law, and subject to the specific provisions of these Terms and Conditions, DS CONNECT excludes all warranties concerning the Content of the Application. All such Content is provided without warranty of any kind.

· DS CONNECT does not guarantee that the functionalities of the Application will be, in whole or in part, uninterrupted, error-free and virus-free, timely, secure, accurate, reliable.

· In general, DS CONNECT can only be held liable for its own proven and established faults that are its responsibility and that have a direct causal link with the damage.

· No compensation or penalty shall be due on the counts set out below

· A. Characteristics of the Internet and telephone networks

· The User declares that he/she is aware of and accepts the characteristics and limitations of the Internet and telephone networks, in particular with regard to technical performance, response times for consulting, querying or transferring information, the risks of interruption and, more generally, the risks inherent in any connection and transmission on the Internet, the lack of protection of certain data against possible misappropriation and the risks of contamination by any computer viruses circulating on the network.

· Consequently, DS CONNECT cannot, under any circumstances, be held liable for any damage directly or indirectly related to any of these characteristics and/or limitations.

· The connection of any User to the Application and the use by him of all or part of the functionalities of the Application is under the sole responsibility of the User.

· It is the responsibility of all Users to take all necessary measures to protect their own data and/or software stored on their computer equipment against any attack.

· B. Force majeure and unforeseeable circumstances

· DS CONNECT cannot be held liable if the suspension or termination of the right of access to the Application results from a case of force majeure or an unforeseeable event, as defined by French legislation and case law.

· C. Unavailability of the Application

· DS CONNECT will implement all reasonable means at its disposal to ensure the proper functioning of the Application and the User access to the Application in the best conditions. However, DS CONNECT only has an obligation of means regarding access to and use of the Application, and cannot guarantee that the Application will operate 24 hours a day, 7 days a week. DS CONNECT may not be held liable in the event of the unavailability of the Application.

· For reasons of maintenance, testing, repair or any other nature related to the improvement and operation of the Application, DS CONNECT reserves the right to interrupt them temporarily, without the interruption giving rise to any obligation or compensation.

· D. Facts of Users, and/or any third party

· DS CONNECT cannot be held liable for damage resulting from:

· Faults, inadequacies, abnormal or non-compliant uses, attributable to the User, and/or to any third party;

· Failures, of any nature whatsoever, of the equipment and/or technical installations of the User, or of any third party.

· DS CONNECT declines all liability for difficulties or malfunctions attributable to the inadequacy of the User's equipment and/or Internet connection (expressly excluded from the contractual scope) to the use of the Application, to their defective operation or to their misuse, due to the unavailability of the Application, caused by a failure of the technical actors of the Internet network, as long as DS CONNECT is not in control of the Internet network.

· E. Third-Party Sites/Applications

· The Application includes links to third-party websites and applications.

· DS CONNECT has no control over the content, personal data protection policies or practices of third-party sites/applications and declines any responsibility in this regard.

· DS CONNECT assumes no responsibility for the content of these third-party sites/applications or the content to which these third-party sites/applications may refer. The presence of hypertext links to third-party sites/applications does not mean that DS CONNECT approves in any way whatsoever of their content.

RESPONSIBILITIES AND GUARANTEES OF THE USER

· A. Use of the App

· The User undertakes to:

· Comply with these Terms of Use;

· Pursue strictly lawful purposes and comply with all legal, regulatory and administrative provisions, in particular applicable in France, but also, where applicable, in the country in which they are located or from which they access the Application;

· Respect, in particular, the rights of third parties (intellectual property rights, personality rights, rights to image, honour and reputation and respect for privacy and the secrecy of correspondence in particular).

· More specifically, the User shall refrain from:

· Making false statements about one's identity, age;

· Use the name, voice, or likeness of any person without their consent;

· Use another User's account;

· Collect information, data or content belonging to other Users without their consent;

· Use the App in any way that damages the App or prevents its use by other users;

· Engage in or participate in any way, directly or indirectly, in any deviant, abusive, illicit or harmful practice;

· Publish content or disseminate messages that infringe the rights of third parties (including their intellectual property rights) or that are pornographic, discriminatory, racist, violent, defamatory, sexual and/or that may constitute bullying or intimidation of other people. DS CONNECT reminds you that all pornographic, exhibitionist or indecent photographs and videos are strictly prohibited. Any publication of this nature constitutes an offence punishable by the deletion of the User's Account from which they originate, without prejudice to the other remedies available to DS CONNECT or the criminal proceedings that may arise from these publications;

· Post content or post messages that promote violence or discrimination based on race, ethnicity, nationality, religion, sexual orientation, sex, gender identity, illness, disability, immigration status, age, etc. ;

· Harass, intimidate, humiliate, stalk, assault, defame, harm, or otherwise abuse or cause psychological harm to any other User of the Application.

· The User shall also refrain from:

· Carry out activities aimed at accessing elements or functionalities of the Application the use of which has not been authorised by DS CONNECT;

· Arrange, modify, translate, adapt, reproduce, index, copy and/or extract any Content, information, software, products or any other element of the Application, by any means without the prior express authorisation of DS CONNECT;

· Modify, distort, block, unduly burden, disrupt, slow down, and/or interfere with the normal operation of all or part of the Application, or its accessibility to other Users, or attempt to do any of the above; and

· Collect or intercept by any means that is not expressly permitted by DS CONNECT data exchanged by other Users;

· Attempt to obtain a password, information relating to another User, or other private information from any other User;

· Upload viruses or other malicious code or compromise the security of the Application;

· Send a report about a User's behavior or content that is false, misleading or manifestly unfounded, or abuse any reporting system;

· Comply with YouTube's

When the User fails to comply with any of the provisions of these T&Cs, and without prejudice to DS CONNECT's other rights (by virtue of the law or any other basis), the User may have his/her Account suspended or terminated immediately (Article 7 of the T&Cs).

· The User uses the Application under his or her own responsibility.

· Consequently, DS CONNECT cannot be held liable for any direct or indirect damage that may result from the use of the Application that may be made of it by Users or third parties.

CONTENT

User Content

· The User is fully responsible for the content that he or she disseminates and shares on the Application. Accordingly, the User represents and warrants that the information provided is accurate, including any information submitted through other third-party sources and that the User updates the information in relation to its Account, as necessary to ensure its accuracy.

· The content of the User's profile must be relevant to the use of the Application. The User must not share prohibited content (Article 10 of the T&Cs).

· The User who chooses to disseminate Personal Data concerning him (such as personal postal addresses, bank details, etc.) does so at his own risk and under his own responsibility. DS CONNECT encourages Users to exercise caution when disclosing Personal Data online.

· The User retains his intellectual property rights on the content he shares on the Application. However, in order to allow DS CONNECT to process the Users' content and to use the Application, the User grants DS CONNECT a free and non-exclusive worldwide licence to host, store, reproduce, display, publish, translate, adapt, sub-license and/or use (I), any information, photo, video or other content exchanged in the context of the use of the Application, and (ii) the username, voice and/or image, as reproduced in such content, if any. This license remains valid as long as the T&Cs are applicable.

· The User's profile is visible to other people. The User expressly acknowledges that the content he or she disseminates may be consulted by other Users. By sharing and broadcasting the content live, the User represents and guarantees that he or she has all the rights and licenses necessary to do so and that a license to use the said content is granted to DS CONNECT.

· Finally, the User understands and accepts that DS CONNECT may monitor or review the content it broadcasts and that DS CONNECT has the right to remove, delete, limit or block access to any content, at any time, at its sole discretion.

· 11.2 Content of other Users

· The User must not copy or use the content disseminated by other Users, for any purpose whatsoever. The User must not misuse the content disseminated by other Users for commercial or other purposes, to criticize, harass or even threaten, or any other illegal behavior.

REPORTS

· In its capacity as a hosting provider, DS CONNECT is not subject to a general obligation to monitor the information stored.

· However, DS CONNECT participates in the fight against certain crimes and offences, in particular offences related to the sexual abuse of minors, discrimination, violence, glorification of terrorism, negationism, incitement to hatred, violence, terrorism, etc.

· DS CONNECT encourages the User to report any content or Account that is inappropriate, that violates the T&Cs and/or applicable law in force.

· To make a report, the User can do so directly on the Application by clicking on the attention sign from the User's profile.

· By reporting a User's content or Account, the User will no longer be able to access the profile of the User who has reported it, nor view his or her live streams.

· The User undertakes to provide relevant evidence and information to enable DS CONNECT to analyse the report.

· In this context, the User undertakes to provide:

· A sufficiently substantiated explanation of why the User considers the content or the Account of another User to be illegal;

· Any information that identifies illegal content based on the type of content and the specific type of hosting service;

· A statement that they believe, in good faith, that the information and allegations contained therein are accurate and complete. INTELLECTUAL PROPERTY

· The Application is published by DS CONNECT.

· The Application and all intellectual property rights related to their design, the selection of these elements, their presentation and their organization belong to DS CONNECT or its licensors and assigns.

· Similarly, the trademarks, domain names, acronyms, logos, drawings and others that appear on the Application are the exclusive property of DS CONNECT or its partners.

· The Application is protected by copyright, U.S. and international copyright, patent, database, design and trademark laws, international conventions and other laws protecting intellectual property and related exclusive rights.

· The User is strictly prohibited from reproducing or representing any of these elements or their documentation, or from altering or masking in any way whatsoever the trademarks, distinctive signs or copyright notices that may be affixed to them without the prior authorisation of DS CONNECT and/or the licensors and assigns.

· It is expressly forbidden for the User, without the prior consent of DS CONNECT and/or the licensors and assigns, to copy, modify, improve, edit, translate, decompile, create a derivative work, reverse design or assembly or in any other way attempt to find the source code (except in cases provided for by law), sell, assign, sublicense, or otherwise transfer all or any part of the Application.

· The User further acknowledges and accepts that none of the provisions of these Terms of Use, except in any cases expressly referred to in the said Terms of Use, has the effect of transferring ownership of any trademark, trade name or any other property right of the Application to the User or any other third party.

· DS CONNECT grants the User, for the whole world, a free personal, non-exclusive, non-transferable right to use the functionalities of the Application.

· The User undertakes not to do anything that is in contradiction with this "Intellectual Property" article, or that is likely to be prejudicial, in any way whatsoever, to DS CONNECT in this respect.

· RESPONSIBILITIES OF DS CONNECT

· Disclaimer. DS CONNECT does not and cannot make any statement about the Content or features of the Application or the content of Users.

· DS CONNECT provides its services on an "as is" and "as available" basis and, to the extent permitted by applicable law, makes no warranties of any kind, whether express, implied, mandatory or otherwise, with respect to the provision of the Application, including, but not limited to, any implied warranties of satisfactory quality, merchantability, fitness for a particular purpose or non-infringement.

· DS CONNECT does not represent or warrant that:

· (1) the Application is uninterrupted, secure, or error-free,

· (2) any defects or errors on the Application will be discovered or corrected, and

· (3) that any content or information that the User obtains on or through the Application will be accurate, complete, current or appropriate for its purposes.

· In addition, DS CONNECT does not make any guarantee as to the number of active Users at any given time, the ability or desire of Users to communicate with other Users, or as to the final compatibility or behavior of Users who may be encountered on the Application.

· DS CONNECT assumes no responsibility for any content that the User or third party publishes, sends or receives or acts on via the Application and assumes no responsibility for the identity, intentions, legitimacy or veracity of any User with whom another User may communicate on the Application.

· Access to any resource downloaded or obtained through the use of the Application is understood at the User's own discretion and risk. DS CONNECT is not responsible for any damage caused to its computer hardware, computer software or other equipment or technology, including but not limited to damage caused by any breach of security or by any virus, bug, alteration, hacking, fraud, error, omission, interruption, defect, delay in operation or transmission, defect in the computer line or network or any other technical or other interruption or malfunction.

· DS CONNECT may not be held liable for indirect damage such as loss of data, consequential, future, uncertain or immaterial damage or damage caused to third parties.

· 14.2 Limitation of Liability. In the absence of legal or regulatory provisions to the contrary, DS CONNECT's liability is limited solely to direct, personal and certain damages suffered by the User and related to the failure in question.

· SUPPORT

· In the event of difficulties or for any question relating to the Application, the User may contact DS CONNECT, Monday to Friday from 9 a.m. to 5 p.m., by email: contact@idisko.com

ACCOMMODATION

· The Application is hosted on the servers of SUPABASE and POSTHOG.

· As DS CONNECT has chosen to have the Application hosted by hosting professionals, it cannot be held responsible for any failures of the Application.

· DS CONNECT cannot be held responsible for any damage or loss of data deposited on its servers via the Application.

PROTECTION OF PERSONAL DATA

· Pursuant to Law 78-17 of 6 January 1978 on information technology, files and civil liberties, as amended, and European Regulation 2016/679 of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, known as the General Data Protection Regulation or (GDPR), it is recalled that the User's Personal Data is necessary to access and use the Application.

PARTIAL DISABILITY - WAIVER

· The nullity or inapplicability of any of the provisions of these T&Cs will not entail the nullity of the other stipulations, which will retain all their force and scope. The User must comply with them.

· In addition, the fact of not requiring the performance of part of these T&Cs, or of doing so late, cannot be interpreted as a waiver on the part of DS CONNECT to require compliance with this condition by the User or a third party.

EVIDENCE – ELECTRONIC COMMUNICATION

· Any notification or communication between the User and DS CONNECT may be made by any electronic means. Thus, DS CONNECT may communicate information to the User by any electronic and dematerialized means that may be directly or indirectly linked to the Account.

APPLICABLE LAW - LANGUAGE OF THE CONTRACT

· By express agreement between the parties, the T&Cs are subject to French law, to the exclusion of any other legislation.

· They are written in French. In the event that they are translated into one or more languages, only the French text will be authentic in the event of a dispute.

LITIGATION

· In the event of a dispute, the User must contact DS CONNECT as a priority in order to try to find an amicable solution by contacting it by email: contact@idisko.com

· In the event of failure, the User may have recourse to a consumer mediator for the amicable resolution of the dispute under the conditions provided for in Title I of Book VI of the Consumer Code.
